1. General
These terms govern the use of Empire Labs Pty Ltd (ACN 693 862 145) products and services, including software purchased through our Gumroad store and consulting services delivered under separate engagement agreements.
2. Software products
All software products are provided as-is, subject to the following:
- You receive a non-exclusive, non-transferable license to use the software
- You may not reverse-engineer, decompile, or redistribute the software
- Products are delivered as compiled binaries or download archives via Gumroad
- Updates and support are as specified in the product listing at the time of purchase
3. Consulting services
Consulting engagements are governed by a separate Statement of Work (SoW) agreed upon by both parties before work begins. Each SoW will specify deliverables, timeline, fees, and acceptance criteria.
- All deliverables are designed to be fully owned and operated by the client
- No ongoing retainers are required unless explicitly agreed in the SoW
- Intellectual property developed specifically for a client engagement is assigned to the client upon full payment
4. Payment
Software products are paid for at the point of purchase via Gumroad's payment processing. Consulting fees are invoiced according to the terms agreed in the SoW. All amounts are in Australian dollars (AUD) unless otherwise stated.
5. Limitation of liability
Empire Labs Pty Ltd provides software and services on a commercial best-effort basis. To the maximum extent permitted by law, Empire Labs Pty Ltd is not liable for indirect, incidental, or consequential damages arising from the use of its products or services. This limitation applies even if advised of the possibility of such damages.
6. Governing law
These terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.
7. Changes
We may update these terms by posting a new version on this page. Continued use of our products or services after changes constitutes acceptance of the updated terms.
